Senior Counsel, Data Privacy and Cybersecurity

Location: Cypress, CA

POSITION SUMMARY:

Under supervision, the senior counsel: (a) reviews, negotiates and drafts commercial contracts for assigned client companies or divisions; (b) provides advice, counsel, and training on data privacy and cybersecurity law, compliance, contracts, and related topics to the Mitsubishi Electric Group companies in the Americas; (c) manages with other ACO Legal colleagues and/or outside counsel litigation in which any of the senior counsel’s client companies is a party; and (d) carries out any other legal work assigned to the senior counsel by the General Counsel.

The essential functions of the position include, but are not limited to the following:

  • Serve as the first point of contact for legal services for assigned business divisions, and, as requested, other US based Mitsubishi Electric Group companies or divisions, and provide legal services promptly and efficiently, with an understanding of the client’s operations and business needs.
  • Review, negotiate and draft commercial contracts and related documents for assigned business divisions, and, as requested, other US based Mitsubishi Electric Group companies or divisions including (a) sales and purchasing agreements, (b) distributor/reseller agreements, (c) supply agreements, (d) marketing and other service agreements, (e) non-disclosure agreements, and (f) sales programs, policies and procedures.
  • Provide advice and counseling to all Americas based Mitsubishi Electric Group companies on cybersecurity and data privacy matters and to assigned business divisions on contract law, litigation, legal compliance, non-disclosure agreements, and litigation hold policies and procedures.
  • Supervise, manage, and oversee, with other ACO Legal colleagues and/or outside counsel, any litigation on behalf of assigned business units, and, as requested, any data privacy or cybersecurity litigation or administrative matters in which any of the US based Mitsubishi Electric Group companies is party.
  • Provide regular data privacy and cybersecurity training to all US based Mitsubishi Electric Group companies along with other legal training to assigned business units and, as requested, other US based Mitsubishi Electric Group companies on topics including contracts, litigation, legal compliance, litigation hold and NDAs.
  • Liaise with other MEUS ACO lawyers to provide or obtain specialized advice, including obtaining employment, antitrust, intellectual property, export control and environmental regulations.
  • Interface with appropriate government departments and agencies with regard to US data privacy and cybersecurity compliance.
  • Conduct and support informal and formal data privacy, cybersecurity and other information security management audits for the Mitsubishi Electric Group companies in the Americas.
  • Carry out special projects as directed by the General Counsel, e.g., reviewing the data privacy and cybersecurity aspects of due diligence work in M & A transactions.
  • Perform other duties as assigned.

EDUCATION AND EXPERIENCE:

  • Graduation from a top-tier law school
  • Admitted to practice law in California
  • 6 – 12 years’ experience in a corporate law department or law firm with substantial experience in data privacy and cybersecurity and commercial contract drafting and review
  • Excellent communications skills
  • Ability to multi-task in a team-oriented, fast-paced, multi-cultural, diverse environment
  • Demonstrated commitment to supporting and advancing a workplace culture of diversity, equity and inclusion
  • Ability to travel for business as needed
  • Fluency in Spanish or Portuguese strongly preferred

The pay range for this position at commencement of employment is expected to be between $192,000 and $264,000/year; however, base pay offered may vary depending on multiple individualized factors, including market location, job-related knowledge, skills, and experience. The total compensation package for this position may also include other elements, including commissions based on achieving individual performance and/or sales metrics, incentive compensation and discretionary awards in addition to a full range of medical, financial, and/or other benefits (including 401(k) eligibility and various paid time off benefits, such as vacation, sick time, and parental leave), dependent on the position offered. Details of participation in these additional compensation and benefit plans will be provided if an employee receives an offer of employment.

If hired, employee will be in an “at-will position” and the Company reserves the right to modify base salary (as well as any other discretionary payment or compensation program) at any time, including for reasons related to individual performance, Company or individual department/team performance, and market factors.
